Spirit Airlines Rejects Frontier Airlines' Merger Bid Again

As the leading low-cost carrier, Spirit Airlines once again rejected Frontier Airlines' bid to combine operations on Tuesday. It has ignored the offer as insufficient for its shareholders and not in the best interest of the airline's future. The airline has proclaimed that it will concentrate on its technique to emerge from bankruptcy and improve its finances. Frontier Airlines has offered a rehabilitation of its proposal from earlier this month, proposing that Spirit's shareholders would get $400 million in debt and a 19% stake in Frontier. Nevertheless, it has turned down the proposal and conveyed its innovative plan by completing a $350 million equity rights from offering and using the process to retire its debtor-in precision facility. Not only this, but it has also requested that the bankruptcy court-approved fee of around $35 million be waived conveniently. 

The Practical Objective of Spirit Airlines:

Earlier, the combination of Spirit and Frontier would have created more value than Spirit's stand-alone plane, asserted Frontier Airlines on Tuesday. It has cleared the services and is focusing on delivering for Frontier shareholders at a time when its airline performs well in a dynamic market environment. But the offer from Frontier last month was rejected almost shortly by Spirit Airlines. It has announced that it will offer a counterproposal to Frontier this month, but the proposal has been rejected due to unforeseen circumstances. It is the Florida airline that has a hearing in court on its reorganization plan on Thursday. Further, Spiirt anticipates completing the restructuring in the first quarter to augment its services and finances. 

Comprehend the Frontier's first Attempt at Merger With Spirit:

The merger proposal was first announced in early 2022 and was presented to create a larger, low-cost carrier to rival the so-called "Big Four" airlines in the United States: American Airlines, Delta Air Lines, United Airlines, and Southwest Airlines. Frontier Airlines, a low-cost carrier, proposed a combination that would streamline operations and allow the combined entity to achieve economies of scale. With this, the cost is driving down and enabling more affordable air travel for consumers. However, Spirit has consistently resisted the idea, claiming that the financial and strategic benefits presented by Frontier do not explain the risks of such a merger. 

Spirit Airlines' leadership firmly believes that the merger would not provide sufficient value to its shareholders. However, both companies are in the same budget-friendly, no-frills airline category. Spirit has voiced concerns that the proposed combination would lead to less competition in the low-cost space and could harm consumers in the long run. Another factor is the belief that the merger would not generate the anticipated alliances that Frontier has suggested. Spirit Airlines has repeatedly pointed to its strong brand identity, loyal customer base, and efficient operations as pivotal strengths that should be preserved for a longer time to speed up the services in the aviation market significantly. 

Spirit Airlines is the biggest U.S. budget-friendly airline that filed for bankruptcy protection in November after working with bondholders. However, the airline initially lost over $2.5 million and expects to face looming debt payments of more than $1 billion in 2025 and 2026.
